Secret Shares Rewards Terms and Conditions

OVERVIEW

The following terms and conditions apply to the Secret Shares Investor Rewards Package (“Rewards”) provided by Secret Group Limited (the “Provider”).

“Secret Shares”:

A crowdfunding campaign by Secret Cinema on CrowdCube where people invested into Secret Cinema to become shareholders.
“Investor”:

A person who has invested in Secret Cinema via the crowdfunding campaign between the 6th June 2021 and the 30th June 2021.
“Period”:

The period of time that a reward is available as set out in Section 5 “Reward Specific Terms”.
“Rewards”:

Secret Shares Investor Rewards Package: a selection of rewards that Investors are entitled to based on their investment level.
“Investor Portal”:

A website that Investors can log into to redeem their rewards.
DATA PROTECTION

Personal Data provided as part of the Rewards redemption process will be used by the Provider to administer the Rewards and to provide you with information about your Rewards.

Investors will receive regular updates from the Provider about Secret Shares updates by email, SMS and Direct Mail.

We will only collect, keep, use and share Personal Data for legitimate business purposes or if we’re legally required or allowed to do so.

If you have provided your consent when signing up to our Services, or at a later stage, we will use your personal information for marketing purposes by keeping you updated about forthcoming Secret Cinema events and to inform you about other products and services, which we think might be of interest to you. You always have the opportunity to opt-out of receiving our marketing material in the communication that we send you.

REWARDS

The Provider offered 8 reward packages dependent on the level of investment from the Investor. Each reward package is supplied as the following:

Tier 01: Talent

Investment from £20-£99

Tier 02: Runner

Investment from £100 - £499

Tier 03: Stunt Double

Investment from £500 - £999

Tier 04: Lead Actor

Investment from £1,000 - £2,499

Tier 05: Editor

Investment from £2,500 - £4,999

Tier 06: Producer

Investment from £5,000 - £19,999

Tier 07: Writer

Investment from £20,000 - £74,999

Tier 08: Director

Investment from £75,000+

Investors will be given exclusive access to the Investors Portal as part of their rewards package when signing in with their Secret Cinema account or registering a new account. The email address used must match the email address used when investing with Crowdcube, otherwise access to the portal will not work. Investors will be able to view their Investor benefits through the Portal including any redeemed rewards. Investors will be able to update their Personal Data on the Website. Free tickets and discounted tickets can be redeemed on the Portal, along with additional features to redeem other rewards.

INVESTOR SPECIFIC TERMS

Payment of your Investment creates a valid and legally binding contract between you and the Provider which is governed by these Terms and Conditions and Secret Cinema Event Terms and Conditions which can be found here: https://www.secretcinema.org/terms-conditions. Please ensure you have read these Terms and Conditions in full.

The Provider will supply information about the Rewards via the Investor Portal and in the FAQ’s which may include additional Terms relevant to Events, procedures, behaviour and/or conduct.

The Rewards are exclusively available to Investors only who are aged 18 and over. Investors can use their free tickets and discounted tickets for guests under the age of 18 where the age restriction of the event is less than 18. When the investor has used tickets for a person under the age of 18 it is the responsibility of the Investor to ensure they are always accompanied by the Investor and that the Events are age appropriate for such guests.

The Reward term ends at varying times depending on the reward. More information on validity can be found in section 5 ‘Reward Specific Terms’. After the expiry date, the rewards can no longer be redeemed.

Investor Rewards are non-transferable to other people. The personal details submitted upon registration will remain the owner of the Investor for the duration of the Investor Period.

Investors will be entitled to the full Rewards package outlined in these Terms and Conditions and subject to the availability of these Rewards. Being an Investor does not guarantee access to Secret Cinema Event tickets as ticket limits will apply to all Events. Priority booking is available for Investors 24 hours prior to general on sale dates for Secret Cinema Events.

The Rewards package cannot be used as part of a competition prize.

REWARD SPECIFIC TERMS
Priority Booking

As part of the Rewards package, all Investors are entitled to Priority Booking when redeeming their free tickets through the Investor Portal and will be notified by email of the Priority Booking Date. Priority Booking will be available 24 hours prior to Event general on-sale date.

Priority Booking is valid on all Secret Cinema Events listed in the Investor Portal until the 31st December 2025.

Priority Tickets are sold on a ‘first-come, first-served’ basis and all ticket types will be available subject to the ticket types for the event.

Priority Booking is only available for a limited time period of 24 hours. Investors should book their free or discounted tickets via the Investor Portal after this period.

If you are an O2 customer and you receive Priority Tickets, you will not be able to redeem your Investor free tickets using O2 Priority Tickets. You must use the Investors Priority Booking to redeem your ticket via the Investor Portal.

Free Ticket(s)

As part of the Rewards package, Investors are entitled to free tickets to a Secret Cinema Event of their choice subject to availability of tickets and ticket types, and subject to their investment amount. All available Secret Cinema Events will be shown on the Investor Portal.

Investors will be given access to the Investor Portal where they can log in with their existing Secret Cinema account or register a new account to redeem their free ticket(s) from the ticketing partner of the Event.

Depending on the level of investment, the Investor will be entitled to specific amounts of free tickets to be used within a specific time period as seen below:

Investors can only redeem their tickets on separate booking orders as each ticket is given a unique code for redemption.

Investors can use their tickets for non-investors but they must be accompanied by the Investor at the Event at all times and will not be admitted to the Event without the Investor.

Investors can use their free tickets for guests under the age of 18 where this applies on an Event that is selling under 18 tickets.

VIP tickets are not always available on every Secret Cinema Event. Where a VIP ticket type is not available, Investors will be able to redeem a Standard ticket type. VIP benefits (such as drinks tokens) will not be offered when a VIP ticket has been swapped for a Standard ticket.

Tickets must be redeemed within the Period and cannot be transferred. Investor tickets are subject to the Booking Information for the Event and Event Terms and Conditions which can be found at https://www.secretcinema.org/terms-conditions.

Discount on Additional Tickets

As part of the Rewards package, Investors are entitled to additional discounted tickets to a Secret Cinema Event of their choice subject to availability of tickets and ticket types, and subject to their investment amount. All available Secret Cinema Events will be shown on the Investor Portal.

Depending on the level of investment the Investor will be entitled to specific amounts of discounted tickets to be used within a specific time period as seen below:

Investors can only redeem their discounted tickets on separate booking orders as each ticket is given a unique discount code for redemption.

Investors can use their discounted tickets for non-investors but they must be accompanied by the Investor at the Event at all times and will not be admitted to the Event without the Investor.

Investors can use their discounted tickets for guests under the age of 18 where this applies on an Event that is selling under 18 Tickets.

Discounted tickets must be redeemed within the Period and cannot be transferred. Investor discounted tickets are subject to the Booking Information for the Event and Event Terms and Conditions which can be found at https://www.secretcinema.org/terms-conditions.

Limited Edition Secret Cinema Poster

As part of the Rewards package, Investors from Tier 03 - Tier 08 are entitled to Limited Edition Secret Cinema posters for each show they have attended until 31st December 2025, subject to availability and subject to their investment amount. All available Posters will be on the Investors Portal for redemption periodically.

To redeem the poster, Investors must have a ticket for a show and have registered on the show website with the same email address they use to log into the Investors Portal. Investors must log in to the Investors Portal and select which poster they want to redeem. Investors will be required to confirm their shipping address and the poster will be posted to this address. Please allow up to 4 - 6 weeks for arrival from the end of the redemption window.

Investors must redeem their free poster for each show within the redemption window. After this time the poster will not be available for redemption.

Queue Jumping

As part of the Rewards package, Investors from Tier 04 - Tier 08 will be entitled to access the Event for their free or discounted Investors ticket via a VIP entrance on select shows.

This entrance may be used in conjunction with VIP guests who have VIP tickets for the show. VIP entrance is not guaranteed to be quicker than Standard entrance.

Investors will be required to wear their pin to show proof of their investment tier in order to use the queue jump. Investors can use the queue jump with one guest.

Pin

As part of the Rewards package, Investors from Tier 04 - Tier 08 will be given an exclusive Investor’s pin.

All Investors must wear their pins to the Event they have redeemed their free or discounted Investor ticket(s) for. On arrival you must show your ticket along with your pin and ID to gain entry. You may be asked to present your pin at certain points whilst at the Event.

To redeem the pin, Investors will have to log into the Investors Portal and confirm their shipping address and the pin will be posted to this address. Please allow up to 4-6 weeks for arrival from the end of the redemption window.

Pins are for the sole use of the Investor only. Non-investors should not wear Investor pins and may face removal from the event. The Investor whose pin was used may face termination of their Rewards.

All pins remain the property of Secret Group Limited. Please notify us immediately if your investor pin is lost or stolen by contacting [email protected].

Exclusive Secret Gift

As part of the Rewards package, Investors from Tier 05 - Tier 08 will be given an exclusive secret gift.

Investors from Tier 05 - Tier 06 will receive a one-time exclusive secret gift and Tier 07 - Tier 08 will receive an annual exclusive secret gift for 5 years valid until 31st December 2025.

To receive the gift, Investors must log into the Investors Portal and confirm their shipping address and the gift will be posted to this address. Please allow up to 4-6 weeks for arrival from the end of the redemption window.

Tier 05 - Tier 06 Investors should receive their free gift in the first one month of the Investors Portal being open.

Tier 07 - Tier 08 Investors will receive their first free gift in the first one month of the Investors Portal being open. After this time Investors will be emailed when their yearly gift is available for redemption. Investors will need to follow the same instructions for each gift redemption each year. After 31st December 2025 gifts will not be available for redemption.

VIP Stylist and Costume Experience (for one show)

As part of the Rewards package, Investors from Tier 06 - Tier 08 will be entitled to a one-off VIP Stylist and Costume Experience valid on select Secret Cinema shows until 31st December 2025.

To redeem the experience, Investors must log in to the Investors Portal and register their interest for the experience. Investors will be able to pick a time slot and date to redeem their experience.

The experience will include a VIP costume stylist who will advise Investors on their costumes and help to style them.

Investors will receive one £40 voucher towards their costume or accessories to spend at the Costume Experience.

Investors can bring one guest with them to the experience.

The Costume Experience must be redeemed within the Period and cannot be transferred. After this time and once all Investors in this tier have redeemed the experience, the Costume Experience cannot be redeemed. Investors will be notified of upcoming Costume Experiences by email and in the Investors Portal.

Set Tour with Creative Director

As part of the Rewards package, Investors from Tier 07 - Tier 08 will be entitled to a one-off set tour with a Creative Director for two people with a chance to meet the cast of the show. The tour will be valid on select Secret Cinema shows until 31st December 2025.

To redeem the tour, Investors must log into the Investors Portal and register their interest to attend the tour. Investors will then be notified of the date and time of the tour and they will be able to book this via an event link subject to availability.

Tours will only be available on select shows with pre-selected dates and times, there will be one tour per show run subject to availability. Investors will have an opportunity to walk around the set with a Secret Cinema Creative Director when the show is not open and learn more about the creative development for the show. Investors will have the opportunity to meet some of the cast members but this is not guaranteed.

Tours are a maximum of 1 hour long and Investors must leave the set after the tour to allow for the show to be prepared for the next show. Investors can bring one guest with them to the tour.

The Set tour must be redeemed within the Period and cannot be transferred. After the time Period and once all Investors in this tier have redeemed the tour, the Set tour cannot be redeemed. Investors will be notified of upcoming tours by email and in the Investors Portal.

Two Premium Flights and Tickets to an Overseas Show

As part of the Rewards package, Investors in Tier 08 will be entitled to two Premium flights and two VIP tickets to an overseas show valid on select Secret Cinema shows until 31st December 2025.

To redeem the flights and tickets, Investors must log into the Investors Portal and register their details to organise the experience.

This experience will only be available on overseas shows. Overseas shows are defined as a show that is in another country from the investor's home country. For example, if the Investors home country is in the USA, they will be entitled to use this experience on UK shows, and vice versa.

Two Premium Flights will be purchased by Secret Group Ltd on behalf of the Investor up to the value of £2,500 per person (a total of £5,000) including any applicable taxes, credit card charges, fees and charges imposed by a government or other authority, or by the operator of an airport and Government Scheme Costs. The length of the trip can be specified by the Investor subject to the value of each flight. Investors will be able to specify the dates of travel but these are subject to ticket availability.

The ticket will cover flights between the departure and final destination airports via any stop-overs, and all other benefits that come as standard with the ticket and flight provider. It does not include additional destinations, upgrades to other cabin classes, additional baggage, additional food and beverage, lounge access, WIFI on board, ground transportation or other additional charges that do not come as standard with the ticket and flight provider.

Secret Group Ltd will not be held liable for any delays or cancellations to flights by the flight provider and any associated costs, or for travellers missing their flights and any associated costs. If the travellers wish to change their itinerary in advance, Secret Group Ltd will not be held liable for any associated costs unless in the unlikely event that a Show is cancelled by Secret Group Ltd in which case the flights and tickets will either be cancelled or rebooked for new dates subject to availability.

Tickets cannot be transferred to someone else, only the named passengers can travel on the tickets. The Investor can travel with one guest of their choice and both guests must be over the age of 18.

If one of the travellers becomes ill unexpectedly and this stops them from travelling, please contact [email protected].

Secret Group Ltd will act as your agent in all aspects of your reservation, including cancellation and making any changes. You authorise Secret Group Ltd to act as your agent in order to process your reservation.

Investors and travellers are responsible for:

  1. Checking and observing the entry requirements for any country they are visiting;
  2. Making sure they have and can present to the flight provider a valid passport, all required travel documents, visas, health certificates, fitness to fly evidence, and other documents or requirements they need for their journey and allowing Secret Group Ltd to make and keep copies of these documents;
  3. Complying with all laws, regulations, orders, demands and policies and other requirements (including those relating to health mitigation) of any country they fly from, to and transit through;
  4. Having a passport that is in good condition (without missing or badly torn pages, holes, stains, material alterations, mutilations, evidence that the laminate is lifted enough to allow possible substitution of the photo or any other damage that affects the integrity of the passport and/or the identification of the holder, such as the name, date of birth, citizenship and document number);
  5. Paying for any local taxes, fees or charges upon arrival or departure to be paid locally
  6. Allowing government officials, enforcement agencies, airport officials, or other carrier providing their journey to carry out security checks on them and their baggage and a health screening or health examination as needed (including temperature checks);
  7. Allowing customers or other government officials to carry out inspections of their baggage;
  8. Complying with the flight providers terms and conditions of carriage, including compliance with acceptable behaviour when flying;
  9. Hotel accommodation and ground transportation at the destination and all other associated costs with the trip (food and beverage, excursions);
  10. Ensuring that hand baggage and checked baggage does not exceed the weight and/or size limit set out by the flight provider and if necessary, paying extra charges for baggage over the weight/size limit;
  11. Ensuring all baggage is properly secured and packed, closed and locked and does not contain prohibited items as set out by the flight provider.

Two free VIP tickets to the show of your choice will be issued as part of the booking process and the Investor will be able to specify their preferred date, subject to availability. VIP tickets are available on select shows only. Where a VIP ticket is not available on an overseas show, the Investor will be offered a Standard ticket.

Investors must use their second ticket for their flight traveller (or they can use it for themselves) and they must be accompanied by the Investor at the Event at all times and will not be admitted to the Event without the Investor.

Tickets must be redeemed within the Period and cannot be transferred. Investor tickets are subject to the Booking Information for the Event and Event Terms and Conditions which can be found at https://www.secretcinema.org/terms-conditions.

COVID-19 PANDEMIC

In the interest of public health and safety, Secret Group Ltd reserves the right to update or impose health restrictions, warnings or guidance at any time by any means available to it (such as at the Event itself) and which will apply in connection with admittance to and behaviour at the Event as the Event Provider considers appropriate, taking into account any circumstances which exist at the time or in response to any guidance from the Government, Public Health England or any other governmental or judicial authority.

Where the Booking Information for an Event sets out guidance and information regarding any health checks or controls at the Event it is the Event Ticket Holder’s responsibility to ensure they will be able to comply. In the event there are any changes or updates to the health checks or controls, arising from guidance or advice issued by the Government, Public Health England, or local or judicial authorities, this will be communicated by us through the website, by email and/or by notices at the Event as appropriate.

FORCE MAJEURE

Secret Group Ltd will not be responsible and will not pay any compensation where we are prevented or delayed from performing our obligations due to an event beyond our reasonable control, including but not limited to flood, earthquake, mechanical breakdown, IT failure, fire, adverse weather conditions, endemic, pandemic, acts of terrorism, gas, water or other utilities.

UNUSED INVESTOR REWARDS

Investors must claim their rewards within the time period stated for each benefit outlined in section 5 ‘Reward Specific Terms’. Secret Group Ltd is not liable for any unused rewards and is not liable to provide these rewards after the reward period has ended. Unused rewards cannot be transferred to someone else or rolled over.

TERMINATION

Secret Group Ltd reserves the right, if required, to cancel all rewards if the Investor behaves in a threatening, abusive, or otherwise inappropriate manner towards any persons at Secret Cinema or the public at a Secret Cinema Event or on Secret Cinema online channels.

INTELLECTUAL PROPERTY

Secret Group Ltd will retain all Intellectual Property rights in connection with the rewards, including but not limited to, the Secret Cinema name, logos and trademarks reproduced through the rewards.

The Rewards are for Investors' own personal and non-commercial use. You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer or sell any information obtained from the rewards, including but not limited to, the Investors Portal, Investors exclusive content or Investors Rewards.

The Investors Portal website contains material which is owned by or licensed to the Secret Group Ltd. This material includes, but is not limited to, the design, layout, look, appearance and graphics. Reproduction is prohibited.

TERMS OF USE

The use of the Investors Portal Website is subject to the following terms of use:

Secret Cinema reserves the right to make changes to these Terms and Conditions and rewards. No variation to these Terms and Conditions shall have effect unless in writing and signed by an authorised representative of Secret Group Ltd.

These terms and conditions are subject to the laws of England and Wales and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims), shall be governed by and construed in accordance with English law, and the parties irrevocably submit to the exclusive jurisdiction of the courts of England and Wales.
